About InnovatorX

InnovatorX curates social wellness experiences, helping providers launch, manage, and grow self-pay offerings while making wellness more accessible to users through membership, events, and personalized tools. We provide an online marketplace and scheduling tools that enable wellness practitioners to connect with consumers through events, 1:1 sessions, and curated offerings, both online and offline.

Eligibility

To use the Services, you must be at least 18 years old and have the authority to enter into legally binding contracts. By using InnovatorX, you represent that you meet these requirements.

Account Creation and Responsibilities

To access certain features, you must create an account. You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Provider & Partner Responsibilities

If you are a wellness provider or business partner, you are responsible for the accuracy of the services you offer, including pricing, scheduling, credentials, and terms. You are required to comply with all applicable laws, obtain necessary licenses and insurance, and ensure the safety and integrity of any services offered via our platform.

Providers are solely responsible for services they list and deliver. InnovatorX is not the employer or agent of any provider and does not control the performance, quality, or safety of their services.

User & Member Responsibilities

As a user, you agree to:

• Use the Services for lawful purposes only

• Respect provider terms and attendance policies

• Pay for any services or events you book through the platform

• Follow any community guidelines or conduct codes outlined in platform updates

InnovatorX does not guarantee the accuracy, availability, or fitness of any third-party services listed on the platform.

Payments and Fees

Payment processing is handled by third-party services (e.g., Stripe). By using InnovatorX, you agree to their terms and authorize us to process transactions. Platform service fees and provider payout details are listed transparently during booking. Processing fees are non-refundable.

Refunds are subject to each provider's or event's cancellation policy. InnovatorX does not offer direct refunds but may facilitate communication between users and providers.

Platform Rights and Content

All content on the platform, including branding, designs, text, and media, belongs to InnovatorX or its licensors. Users may not reproduce, modify, distribute, or exploit any platform content without express permission.

Users may submit content (e.g., reviews, listings, feedback), which they retain ownership of but grant InnovatorX a non-exclusive, royalty-free, transferable license to use, display, and promote in connection with the Services.

Prohibited Conduct

You agree not to:

• Misrepresent your identity or affiliations

• Interfere with the Services or attempt unauthorized access

• Violate any law or infringe on third-party rights

• Use the Services to harass, defraud, or harm others

We reserve the right to suspend or terminate accounts found in violation of these Terms.

The Services are provided "as is" and "as available." InnovatorX makes no warranties or representations regarding the reliability, accuracy, or suitability of the platform or third-party services.

We are not liable for damages, delays, or losses resulting from the use—or inability to use—the Services, including any interactions between users and providers.

Limitation of Liability

To the fullest extent permitted by law, InnovatorX shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the greater of $100 or the amount you paid us in the past 12 months.

Changes to the Services or Terms

We may modify the Services or these Terms at any time. We’ll notify you of significant updates via email or through the platform. Continued use after changes constitutes your acceptance.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Services ends immediately.

Governing Law

These Terms are governed by the laws of the State of New York. Any disputes will be resolved in courts located in New York County, NY.
